TERMS OF SERVICE Adaptive Inventory App Last Updated: March 1, 2026 Please read these Terms of Service ("Terms") carefully before using the Adaptive Inventory mobile application ("App") operated by Adaptive Inventory ("we," "us," or "our"). By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App. ──────────────────────────────────────── 1. ACCEPTANCE OF TERMS ──────────────────────────────────────── By accessing or using the Adaptive Inventory App, you confirm that you are at least 18 years of age (or the age of majority in your jurisdiction) and have the legal capacity to enter into these Terms. If you are using the App on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms. ──────────────────────────────────────── 2. DESCRIPTION OF SERVICE ──────────────────────────────────────── Adaptive Inventory is a mobile inventory management application that provides: - Inventory tracking and management - Receipt scanning and data extraction - Invoice generation - Recipe and formula management - Digital storefront capabilities (Pro, Business, and Enterprise plans only) - Data import and export (CSV, JSON, PDF) - Business analytics and dashboard reporting The App adapts its features based on your selected business type, including but not limited to personal use, bakery, cafe, restaurant, construction, warehouse, store, and retail configurations. ──────────────────────────────────────── 3. USER ACCOUNTS ──────────────────────────────────────── 3.1 Registration: You may be required to create an account to access certain features. You may register using email/password or Google Sign-In. 3.2 Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. 3.3 Accurate Information: You agree to provide accurate, current, and complete information during registration and to update such information as necessary. 3.4 Account Termination: We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent or harmful activity. ──────────────────────────────────────── 4. SUBSCRIPTION PLANS AND PAYMENTS ──────────────────────────────────────── 4.1 Free Tier: The App offers a free tier with limited features, including up to 50 inventory items, 5 invoices per month, 10 receipt scans per month, and 5 recipes. Storefront features are NOT available on the free tier. 4.2 Paid Plans: Premium features are available through the following subscription plans: - Pro Plan: $49/month — Includes storefront access, receipt scanning, barcode scanning, invoice creation, advanced analytics, export features, custom categories, low stock alerts, logo customization, and recipes. - Business Plan: $149/month — All Pro features plus multi-location support, team members, API access, priority support, advanced reports, bulk import, and automated reorder. - Enterprise Plan: $499/month — All Business features plus white-label options, dedicated support, custom integrations, SLA guarantee, audit log, SSO/SAML, role-based access, 24/7 support, custom onboarding, SOC2/GDPR compliance, and advanced security. 4.3 Billing: Subscriptions are billed through the Google Play Store. All payments are processed according to Google Play's billing terms and conditions. 4.4 Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled at least 24 hours before the renewal date. 4.5 Cancellation: You may cancel your subscription at any time through the Google Play Store. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods. 4.6 Price Changes: We reserve the right to modify subscription pricing with at least 30 days' advance notice. Continued use after the price change constitutes acceptance. ──────────────────────────────────────── 5. USER CONTENT AND DATA ──────────────────────────────────────── 5.1 Ownership: You retain all rights to the data, content, and information you upload, input, or store through the App ("User Content"), including inventory records, invoices, receipts, recipes, and storefront products. 5.2 License: By using the App, you grant us a limited, non-exclusive license to process, store, and display your User Content solely for the purpose of providing the Service to you. 5.3 Backup: While we take reasonable measures to protect your data, you are responsible for maintaining your own backups of important data. We recommend regularly exporting your data using the App's export features. 5.4 Data Accuracy: You are solely responsible for the accuracy and completeness of data entered into the App. ──────────────────────────────────────── 6. ACCEPTABLE USE ──────────────────────────────────────── You agree NOT to: a) Use the App for any unlawful purpose or in violation of any applicable laws b) Upload malicious content, viruses, or harmful code c) Attempt to gain unauthorized access to the App's systems or other users' accounts d) Reverse engineer, decompile, or disassemble any part of the App e) Use the App to infringe upon the intellectual property rights of others f) Resell, redistribute, or sublicense the App without our written consent g) Use automated systems or bots to access or interact with the App h) Misrepresent your identity or affiliation with any person or entity ──────────────────────────────────────── 7. RECEIPT SCANNING AND OCR ──────────────────────────────────────── 7.1 The App uses optical character recognition (OCR) technology to extract text from receipt images. 7.2 OCR results may not always be 100% accurate. You are responsible for reviewing and verifying all scanned data before relying on it for business or financial purposes. 7.3 Receipt images are processed on your device. We do not store or transmit receipt images to external servers beyond what is necessary to provide the Service. ──────────────────────────────────────── 8. STOREFRONT FEATURES ──────────────────────────────────────── 8.1 Digital storefront capabilities are available exclusively to Pro, Business, and Enterprise subscribers. Free tier users do not have access to storefront features. 8.2 The storefront feature allows you to list products for display purposes, customize branding, upload logos, and share your store link. 8.3 You are solely responsible for the accuracy of product listings, pricing, and descriptions. 8.4 You agree to comply with all applicable consumer protection laws and regulations when using storefront features. 8.5 Storefront data is subject to the same data protection and privacy policies as other User Content. ──────────────────────────────────────── 9. INTELLECTUAL PROPERTY ──────────────────────────────────────── 9.1 The App, including its design, code, features, graphics, and documentation, is the property of Adaptive Inventory and is protected by copyright, trademark, and other intellectual property laws. 9.2 You are granted a limited, non-exclusive, non-transferable, revocable license to use the App in accordance with these Terms. 9.3 All trademarks, service marks, and trade names used in the App are the property of their respective owners. ──────────────────────────────────────── 10. DISCLAIMERS ──────────────────────────────────────── 10.1 THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. 10.2 We do not warrant that the App will be uninterrupted, error-free, or free of viruses or other harmful components. 10.3 We do not guarantee the accuracy of OCR scanning results, analytics data, or any automatically generated content. 10.4 The App is not intended as a substitute for professional accounting, financial, or legal advice. ──────────────────────────────────────── 11. LIMITATION OF LIABILITY ──────────────────────────────────────── 11.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADAPTIVE INVENTORY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE APP. 11.2 OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APP IN THE 12 MONTHS PRECEDING THE CLAIM. 11.3 We are not liable for any loss of data, revenue, or business opportunities resulting from the use of or inability to use the App. ──────────────────────────────────────── 12. INDEMNIFICATION ──────────────────────────────────────── You agree to indemnify, defend, and hold harmless Adaptive Inventory and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the App or violation of these Terms. ──────────────────────────────────────── 13. THIRD-PARTY SERVICES ──────────────────────────────────────── 13.1 The App may integrate with third-party services, including but not limited to Google Sign-In and cloud storage providers. 13.2 Your use of third-party services is subject to their respective terms of service and privacy policies. 13.3 We are not responsible for the availability, accuracy, or content of third-party services. ──────────────────────────────────────── 14. MODIFICATIONS TO THE SERVICE ──────────────────────────────────────── 14.1 We reserve the right to modify, suspend, or discontinue any part of the App at any time, with or without notice. 14.2 We will make reasonable efforts to notify users of significant changes that may affect their use of the App. ──────────────────────────────────────── 15. CHANGES TO THESE TERMS ──────────────────────────────────────── 15.1 We may update these Terms from time to time. The updated Terms will be posted within the App and the "Last Updated" date will be revised. 15.2 Continued use of the App after changes are posted constitutes acceptance of the revised Terms. 15.3 If you do not agree to the updated Terms, you must stop using the App and delete your account. ──────────────────────────────────────── 16. GOVERNING LAW ──────────────────────────────────────── These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of competent jurisdiction. ──────────────────────────────────────── 17. SEVERABILITY ──────────────────────────────────────── If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect. ──────────────────────────────────────── 18.
